TnP Law Firm assisted PT Jasa Marga (Persero) Tbk and PT Jasamarga Transjawa Tol in their Equity Financing Transaction on the Transjava Toll Roads

TnP Law Firm is proud to have assisted and represented PT Jasa Marga (Persero) Tbk (JSMR) and PT Jasamarga Transjawa Tol (JTT) in their equity financing transaction entered into with (i) Warrington Investment Pte. Ltd. (WIPL), a wholly owned investment company of Singapore’s sovereign wealth fund, GIC, and (ii) PT Metro Pacific Tollways Indonesia Services (MPTIS) and PT Margautama Nusantara (MUN), subsidiaries of Metro Pacific Tollways Corp, the largest toll road developer and operator in the Philippines.

On 28 June 2024, we are delighted to witness JSMR, JTT, Koperasi Konsumen Karyawan Jalin Margasejahtera (KKJM), MUN, MPTIS, and WIPL formally inked the Conditional Share Sale and Purchase Agreement and the Conditional Share Subscription Agreement, which marked a significant milestone in this transaction. On completion of this transaction, JSMR retains a 65% majority stake in JTT, maintaining full control over the operation and management of the Trans Java toll roads. JTT, which currently operates 676 KM of the Trans Java toll road, representing 57% of its total length of 1,184 KM, continues to play a pivotal role within the JSMR group.

We will continue to support JSMR and JTT by navigating them through the conditions precedent of the transaction documents and remain committed to ensure a smooth transaction process, adhere the principles of Good Corporate Governance (GCG), and culminate it later in the Share Purchase Agreement (SPA) signing, which marks the closing of this transaction.
