TnP Law Firm Advised PT Energi Mega Persada Tbk (ENRG) on Its IDR 4.12 Trillion Rights Issue

We acted as legal counsel to EMP Group (ENRG) in connection with its fourth Rights Issue, a significant corporate action aimed to supporting the continued growth of ENRG group’s business. Through the Rights Issue, ENRG is offering up to approximately 13,3 billion new Series B ordinary shares with a subscription price of IDR 310 per share, generating total proceeds of up to approximately IDR 4.12 trillion.

The Rights Issue is structured on a 2:1 basis, with shareholders entitled to subscribe for one new share for every two existing shares held. Upon completion, the newly issued shares represented approximately 33.33% of ENRG’s issued and paid-up capital.

The proceeds from the Rights Issue will primarily be utilized to strengthen ENRG’s business operations through additional investments in, and funding support for, its subsidiaries. The remaining proceeds will be allocated to support the continued growth and development of ENRG’s upstream oil and gas business.

Our team was led by Partners, Rambun Tjajo, and Ken Prasadtyo, with support from Senior Associate, Yonastan Pangestu, and Associates, Christine Setiawati Sugiharto, Andrew Jonathan, Kresnaya Shasty Reskiandira, and Audrey Vitarizka Suud.

The transaction underscores ENRG’s commitment to strengthening its financial foundation and pursuing sustainable growth opportunities within Indonesia’s energy sector. TnP Law Firm is delighted to have supported ENRG in this strategic capital markets transaction.
