TnP Law Firm recently advised PT Krakatau Bandar Samudera (KBS) and PT Krakatau Jasa Logistik
TnP Law Firm recently advised PT Krakatau Bandar Samudera (KBS) and PT Krakatau Jasa Logistik (KJL) on the merger of KJL into PT Multi Terminal Indonesia (MTI), as part of the consolidation and establishment of a state-owned logistics holding. KJL was an indirect subsidiary of PT Krakatau Steel (Persero) Tbk (KRAS) through KBS.
The transaction involved the merger of KJL, PT Pos Logistik Indonesia, PT Prima Indonesia Logistik, PT Sarana Bandar Logistik, PT KBN Prima Logistik, and PT Varia Usaha Dharma Segara, with MTI continuing as the surviving entity. The consolidation was initiated by Danantara as part of its wider efforts to streamline the state-owned logistics portfolio and reduce overlapping business activities across related entities.
The merger represents an important step towards a larger and more integrated logistics platform, with enhanced operational capabilities, stronger market competitiveness, and broader business reach.
The team was led by Partner Melissa Butarbutar, with support from Senior Associate, M Yusuf Kenny Adiputra, and Associates, Faishal Akbar, Andryan Liandi, and Audrey Vitarizka Suud.
