TnP Law Firm Assisted PT Danantara Asset Management in Landmark Acquisition of Indonesia’s SOE Healthcare Holding

TnP Law Firm has advised PT Danantara Asset Management (DAM), the operational holding entity under BPI Danantara Indonesia, the country’s sovereign wealth fund management entity, in connection with the transfer of shares of PT Pertamina Bina Medika IHC (IHC) to DAM from its shareholders. This transaction marks a strategic step toward a more integrated state-owned enterprise (SOE) healthcare ecosystem.

 

On 1 April 2026, IHC’s shareholders, namely PT Pertamina (Persero), PT Pelabuhan Indonesia (Persero), PT Perkebunan Nusantara I (Persero), and PT Pertamina Pedeve Indonesia, signed a conditional shares purchase agreement as part of a broader initiative to streamline SOE portfolios and improve the quality of national healthcare services.

 

This initiative is in line with the government’s ongoing SOE portfolio restructuring and business streamlining agenda, allowing IHC greater flexibility to strengthen its role and enhance healthcare service delivery in response to the evolving needs of Indonesia’s healthcare system.
