We are thrilled to announce that TnP Law Firm have served as lead counsel for PT Petrindo Jaya Kreasi Tbk (“CUAN”) in their strategic acquisition of a 34% stake in PT Petrosea Tbk (“PTRO”) from PT Caraka Reksa Optima through its subsidiary i.e., PT Kreasi Jasa Persada (“KJP”). CRO is the previous major shareholder with approximately 90% of shares ownership in PTRO.
This intricate transaction, involving both M&A and financing workstreams, required us to prepare detailed transaction documents to establish KJP as the sole controller of PTRO with a 34% stake. We also assisted KJP in its mandatory tender offer (“MTO”) process as required under the capital market regulations and to ensure that the MTO process comply with the relevant capital market regulations, including assisting CUAN and PTRO in preparing documentation to convene the general meeting of shareholders in respect of the transaction.
This acquisition is a pivotal part of CUAN’s long-term strategy to boost its assets, broaden its business network, and position itself as a leading integrated mining and mining services company in Indonesia. The transaction not only enhances CUAN’s value but also solidifies its role in the integrated mining sector, aligning perfectly with their growth and synergy goals.
