TnP had the honor of representing PT Ancara Logistics Indonesia Tbk (ALII) as its legal counsel for its initial public offering (IPO) and listing process. Aside from assisting ALII with the registration statement process at the Otoritas Jasa Keuangan (OJK) and listing on the Indonesia Stock Exchange, the transaction also included an extensive pre-IPO restructuring process for increasing the company’s value in preparation for the IPO.
ALII as the issuer issued a total of 3,165,160,000 ordinary shares with nominal value of Rp5 per share or representing 20.00% from the issued and fully paid capital after the IPO, which is offered to the public at an offering price of Rp272 per share. ALII also allocated a total number of 8,002,000 shares or 0.25% of the shares offered in the IPO for Employee Stock Allocation Program (ESA Program). The total IPO proceeds were Rp860,92 billion.
